End User License Agreement (EULA) for BrightIQ.org

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and BrightIQ (“Company,” “we,” “our,” or “us”) governing your access to and use of the software, services, and products provided by BrightIQ.org (“Services”). By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree, do not access or use the Services.
1. License Grant
BrightIQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or business use, subject to the terms and conditions of this Agreement.
2. Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble any part of the Services.
- Modify, distribute, or create derivative works based on the Services.
- Transfer, sublicense, rent, lease, or otherwise allow unauthorized third-party access to the Services.
- Use the Services for unlawful purposes or in violation of any applicable laws or regulations.
- Attempt to bypass or disable any security features or usage restrictions in the Services.
3. Ownership
All intellectual property rights in the Services, including but not limited to software, trademarks, logos, and content, are owned by BrightIQ or its licensors. This Agreement does not transfer ownership of any intellectual property rights to you.
4. Updates and Modifications
BrightIQ may update or modify the Services at any time without prior notice. Such updates may include enhancements, new features, or removal of outdated components. Continued use of the Services after updates constitutes acceptance of the modified terms.
5. Term and Termination
This Agreement remains in effect until terminated. BrightIQ reserves the right to terminate or suspend your access to the Services immediately if you breach any terms of this Agreement. Upon termination, your license to use the Services will end, and you must discontinue all use.
6. Disclaimer of Warranties
The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. BrightIQ disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, BrightIQ shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use or inability to use the Services, even if advised of the possibility of such damages.
8. Indemnification
You agree to indemnify, defend, and hold harmless BrightIQ, its affiliates, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of this Agreement.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Missouri. Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts in Missouri.
10. Entire Agreement
This Agreement constitutes the entire agreement between you and BrightIQ regarding the Services and supersedes all prior agreements or understandings, whether written or oral.
